These Terms of Service (“Agreement”) govern your use of the ReachLocal website and any products or services provided by ReachLocal (“ReachLocal,” “we,” “our,” or “us”). By accessing our website or purchasing our services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our website or services.

1. Services

ReachLocal provides digital marketing services including, but not limited to:

• Website Design and Development
• Website Hosting
• Website Maintenance
• Business Directory Listing Services
• AI Search Optimization (AIO)
• Voice Search Optimization
• Search Engine Optimization (SEO)
• Local Search Optimization
• Digital Marketing Consulting
• Content Creation
• Other marketing and technology services as agreed upon in writing.

Each project is governed by these Terms together with any proposal, estimate, invoice, or signed agreement.

2. Website Use

By using this website, you agree to:

• Use the website only for lawful purposes.
• Not interfere with the operation or security of the website.
• Not attempt unauthorized access to our systems.
• Not copy, scrape, reproduce, or redistribute website content without written permission.
• Not upload malicious software or harmful code.

We reserve the right to suspend or terminate access for anyone violating these Terms.

3. Quotes and Estimates

All quotes are valid for 30 days unless otherwise stated.

Pricing may change after that period due to changes in project scope, third-party costs, or labor requirements.

4. Payments

Unless otherwise agreed in writing:

• 50% of the project total is due before work begins.
• The remaining balance is due upon project completion.
• Monthly services are billed in advance.
• Invoices are due upon receipt unless payment terms are specified.

Late payments may incur:

• Interest at the maximum rate allowed by applicable law.
• Collection costs.
• Attorney fees where permitted.
• Suspension of services.

ReachLocal reserves the right to suspend websites, hosting, listings, or other services for accounts more than 30 days past due.

5. Subscription Services

Business Directory Listings, AI Search Optimization, SEO, hosting, maintenance, and similar recurring services are subscription services.

Subscriptions automatically renew each billing cycle until canceled.

Cancellation requests must be submitted in writing at least 15 days before the next billing date.

Fees already paid are non-refundable.

6. Website Design Services

ReachLocal will make reasonable efforts to complete projects within the estimated timeline.

Project completion depends on timely client cooperation.

Delays caused by the client—including failure to provide:

• logos
• photographs
• written content
• approvals
• account access
• hosting credentials

may delay project completion.

ReachLocal is not responsible for delays caused by:

• hosting providers
• domain registrars
• third-party software
• force majeure events
• internet outages
• cybersecurity incidents beyond our control.

7. Client Content

The client is solely responsible for all content supplied to ReachLocal.

The client represents that they own or have permission to use all:

• images
• logos
• videos
• trademarks
• written content
• downloadable files

The client agrees to indemnify ReachLocal against claims arising from materials provided by the client.

8. Business Directory Listing Services

ReachLocal submits business information to third-party directory websites.

Because each directory is independently operated:

ReachLocal cannot guarantee:

• acceptance of submissions
• approval of listings
• listing placement
• ranking
• publication speed
• permanent inclusion

Directories may:

• reject submissions
• remove listings
• modify listings
• merge duplicate listings
• change their policies without notice.

ReachLocal is not responsible for these actions.

9. AI Search Optimization Services

ReachLocal provides services designed to improve visibility in AI-powered search platforms.

Because AI search platforms continuously evolve, ReachLocal cannot guarantee:

• inclusion in AI-generated answers
• citation by AI systems
• ranking improvements
• increased traffic
• increased revenue
• lead generation
• business growth

Our services are intended to improve the likelihood of visibility using industry best practices.

Search engines and AI platforms retain full control over their algorithms.

10. Search Engine Optimization

ReachLocal follows ethical optimization practices.

We do not guarantee:

• first-page rankings
• specific keyword rankings
• traffic increases
• revenue increases
• search engine indexing
• continued rankings

Search engines may modify algorithms at any time.

Rankings naturally fluctuate.

11. Third-Party Services

Projects may rely upon third-party providers including:

• Google
• Microsoft
• Apple
• OpenAI
• Anthropic
• Meta
• Cloudflare
• domain registrars
• hosting companies
• directory publishers

ReachLocal is not responsible for outages, pricing changes, policy changes, account suspensions, API changes, or service interruptions caused by third parties.

12. Client Responsibilities

The client agrees to:

• provide accurate information
• respond to requests promptly
• review work in a timely manner
• maintain ownership rights for submitted materials
• keep account credentials secure
• maintain backups where appropriate

13. Intellectual Property

Until invoices are paid in full:

• all designs
• source files
• custom graphics
• code
• written content
• documentation

remain the property of ReachLocal.

Upon full payment, ownership of custom-developed website content transfers to the client unless otherwise stated.

ReachLocal retains ownership of:

• proprietary software
• internal tools
• reusable code libraries
• templates
• processes
• methodologies

14. Portfolio Rights

Unless otherwise agreed in writing, ReachLocal may display completed work in its:

• portfolio
• website
• social media
• advertising
• case studies

for promotional purposes.

15. Website Hosting

If ReachLocal provides hosting:

• reasonable maintenance will be performed
• security updates will be installed when appropriate
• uptime is not guaranteed

Scheduled maintenance may temporarily interrupt service.

ReachLocal is not liable for downtime caused by:

• hosting providers
• internet infrastructure
• cyberattacks
• software failures
• natural disasters

16. Website Maintenance

Maintenance plans include only the services specifically listed in the customer’s selected plan.

Requests outside the plan scope may incur additional charges.

Unused monthly support time does not roll over unless otherwise agreed.

17. Limitation of Liability

To the fullest extent permitted by law, ReachLocal shall not be liable for:

• lost profits
• lost business opportunities
• lost data
• loss of goodwill
• indirect damages
• incidental damages
• consequential damages
• punitive damages

ReachLocal’s total liability shall not exceed the amount paid by the client for the services directly giving rise to the claim during the six (6) months preceding the event.

18. No Warranty

Services are provided “AS IS” and “AS AVAILABLE.”

ReachLocal disclaims all warranties, including:

• merchantability
• fitness for a particular purpose
• non-infringement

No guarantee is made regarding:

• rankings
• sales
• revenue
• website traffic
• AI citations
• search engine visibility

19. Indemnification

The client agrees to defend, indemnify, and hold harmless ReachLocal, its owners, employees, contractors, and affiliates from any claims arising out of:

• client-provided content
• misuse of services
• violation of laws
• intellectual property infringement
• breach of these Terms.

20. Confidentiality

Each party agrees to keep confidential any non-public business information obtained during the course of the project.

This obligation survives termination of services.

21. Termination

Either party may terminate ongoing services with written notice.

Termination does not eliminate payment obligations for services already performed.

ReachLocal may immediately suspend or terminate services for:

• non-payment
• abuse
• illegal activity
• fraud
• violation of these Terms

22. Refund Policy

Unless otherwise stated in writing:

• deposits are non-refundable
• completed work is non-refundable
• subscription fees are non-refundable once billed

23. Governing Law

These Terms shall be governed by the laws of the State of Missouri, without regard to conflict of law principles.

Any legal action shall be brought exclusively in the state or federal courts located in Missouri.

24. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with any signed proposal, estimate, invoice, or written agreement, constitute the entire agreement between ReachLocal and the client.

26. Changes to These Terms

ReachLocal may update these Terms at any time.

The most current version will be posted on our website with the revised effective date.

Continued use of our services constitutes acceptance of any revisions.
